Terms of Service

1. Acceptance of Terms
By accessing or using NeuroDesk ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service. These Terms apply to all users, including business owners, their employees, and any party accessing the platform on their behalf.
2. Description of Service
NeuroDesk is a software-as-a-service (SaaS) platform that enables businesses to automate the collection of Google reviews from their customers through personalized SMS and email outreach. The Service also includes AI-powered review replies, negative feedback filtering, social media posting, and integrations with third-party business tools.
3. Account Registration
To use the Service, you must create an account with accurate and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately at support@neurodesk.io if you suspect unauthorized access to your account.
You must be at least 18 years old and have the legal authority to enter into these Terms on behalf of your business.
4. Free Trial
NeuroDesk offers a 14-day free trial for new accounts. A valid credit card is required on file during the trial to cover usage credits (SMS and email delivery costs). Your subscription fee will not be charged until the trial period ends. You may cancel before the trial ends to avoid being charged.
We reserve the right to modify or discontinue trial offers at any time.
5. Subscription and Billing
Subscriptions are billed on a monthly or annual basis depending on the plan selected. Annual plans are billed as a lump sum equal to 10 months of the monthly rate.
Usage credits for SMS and email delivery are billed separately at standard carrier rates and are charged against the payment method on file as incurred. These are pass-through costs and are not included in your subscription fee.
All fees are non-refundable except as required by applicable law. If you dispute a charge, contact us at billing@neurodesk.io within 30 days of the charge.
6. Plan Changes and Cancellation
You may upgrade or downgrade your plan at any time from your account dashboard. Upgrades take effect immediately. Downgrades take effect at the start of the next billing cycle.
You may cancel your subscription at any time. Upon cancellation, you retain access to the Service until the end of your current billing period. We do not provide prorated refunds for unused time.
NeuroDesk reserves the right to suspend or terminate your account for non-payment, violation of these Terms, or for any other reason at our discretion, with notice where reasonably practicable.
7. Your Responsibilities
By using the Service, you agree to:
- Provide accurate customer contact information and ensure you have obtained proper consent to contact customers via SMS and email under applicable law, including CASL and the CAN-SPAM Act
- Not use the Service to send spam, unsolicited messages, or content that violates any law or regulation
- Not impersonate any person or business, or misrepresent your affiliation with any entity
- Not attempt to reverse engineer, hack, or interfere with the platform or its infrastructure
- Comply with Google's terms of service and review policies. Review solicitation must be genuine; incentivizing or fabricating reviews is prohibited
- Maintain accurate billing information and ensure your payment method remains valid
8. Acceptable Use
The Service may only be used for lawful purposes. You may not use the Service to:
- Harass, threaten, or send abusive messages to customers
- Collect or solicit reviews in a manner that violates Google's policies or any applicable law
- Transmit malware, viruses, or any harmful code
- Interfere with other users' access to the Service
- Attempt to circumvent usage limits or access controls
Violation of this section may result in immediate account termination without refund.
9. Intellectual Property
NeuroDesk and all associated logos, software, and content are the property of NeuroDesk and are protected by applicable intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Service for your business purposes during your active subscription.
You retain ownership of your business data and customer contact information. By using the Service, you grant NeuroDesk a limited license to process and use this data solely to provide the Service.
10. Third-Party Services
The Service integrates with third-party platforms including Google, SMS carriers, email service providers, POS systems, and CRM tools. Your use of those third-party services is subject to their respective terms of service and privacy policies. NeuroDesk is not responsible for the availability, accuracy, or conduct of any third-party service.
11. Disclaimer of Warranties
The Service is provided "as is" and "as available" without warranties of any kind, express or implied. NeuroDesk does not warrant that the Service will be uninterrupted, error-free, or that results obtained from the Service will be accurate or reliable. We do not guarantee specific review volume outcomes.
12. Limitation of Liability
To the maximum extent permitted by applicable law, NeuroDesk shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service, including but not limited to lost profits, loss of data, or reputational harm.
Our total liability to you for any claim arising from these Terms or the Service shall not exceed the total fees paid by you in the 3 months preceding the claim.
13. Indemnification
You agree to indemnify and hold harmless NeuroDesk, its officers, employees, and agents from any claims, damages, or expenses (including legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any rights of a third party.
14. Governing Law
These Terms are governed by the laws of the Province of Ontario, Canada, without regard to conflict of law principles. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of Ontario.
15. Changes to Terms
We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on our website and, where appropriate, by email. Continued use of the Service after changes are posted constitutes acceptance of the revised Terms.
